Terms & Conditions

1. Who we are

"CADABRA," "we," "us," and "our" mean CADABRA, Inc., a Delaware corporation. The Service is operated from the United States.

2. Accepting these Terms

By visiting cadabra.ai, completing a checkout for a paid plan, activating an account on our dashboard, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. The Terms in effect at the time you use the Service apply to that use.

3. Who can use CADABRA

You must be at least 18 years old to create a paid account. If you're using CADABRA on behalf of a company or other organization, you confirm that you have authority to do so on that organization's behalf, and "you" means both you personally and that organization.

4. Accounts

Accounts on the CADABRA dashboard are created automatically after you successfully complete checkout for a paid plan, or manually by us for Enterprise customers. You can't create a CADABRA account without a payment or an Enterprise provisioning email from us.

You're responsible for keeping your password and any access tokens private and for any activity that happens under your account. Tell us at team@cadabrai.com right away if you think someone else has accessed your account.

5. Plans, pricing & payment

Current plans and prices are shown on the pricing page and are in U.S. dollars. Payments are processed by Stripe, and by checking out you authorize CADABRA and Stripe to charge the fees and any applicable taxes for the plan you choose. We don't store full card numbers, Stripe does.

Subscription plans renew automatically at the end of each billing period (monthly or annual) at the price then shown for that plan, until you cancel. We may change pricing or plan features in the future; for active paid subscribers, any price increase will only take effect at the next renewal and we will give you at least 30 days' notice before that happens.

6. Refunds & cancellation

You can cancel a paid plan at any time from your dashboard. Cancellation takes effect at the end of the period you've already paid for, you keep access until then and your card won't be charged again.

Fees are generally non-refundable. As a goodwill exception, if you are a brand-new subscriber on a monthly Student or Professional plan and you email team@cadabrai.com within 14 days of your first charge, we will refund that first month. This one-time courtesy does not apply to annual plans, renewals, Enterprise plans, or to consumed AI usage credits. Where applicable consumer-protection law gives you broader refund rights, those rights apply instead.

7. What we license to you

While your subscription is active and you're following these Terms, we grant you a personal, non-exclusive, non-transferable, revocable right to access and use the Service for your own engineering work (or your organization's engineering work, if you're using the Service through an Enterprise account).

You may not: copy, resell, sublicense, or redistribute the Service; reverse-engineer or try to extract our model weights, prompts, or source code; build a competing AI CAD product using outputs of the Service; remove our copyright or trademark notices; or use bots or automation to scrape the Service or its outputs beyond the limits of any API we publish.

8. Your content & designs

"Your Content" means anything you type, upload, or send to the Service, including prompts, instructions, CAD files, drawings, screenshots, comments, and feedback. Between you and CADABRA, you keep ownership of Your Content and of any CAD designs you create. We don't claim your designs.

To run the Service for you, you grant us a limited license to host, store, transmit, display, and process Your Content as needed to: (a) deliver the Service to you, (b) keep it secure and debug it, and (c) generate output you've asked for. We will not use the identifiable contents of your CAD files to train AI models that we make available to anyone outside your account or your organization unless you explicitly opt in.

We may use de-identified, aggregated information, for example, "the average user issues 12 commands per session", to operate and improve the Service. This kind of information doesn't identify you or your designs.

9. AI output & your responsibility

The Service includes generative AI features that produce code, drawings, suggestions, and other output ("Output") in response to your prompts. AI Output can be wrong, incomplete, or unsuitable for a particular purpose, and similar prompts may produce similar output for different users. You agree that:

Subject to these Terms, you may use Output you generate for your lawful business and personal purposes.

10. SolidWorks

CADABRA is designed to sit alongside SolidWorks, which you license separately from Dassault Systèmes SolidWorks Corporation. You're responsible for holding a valid, properly scoped SolidWorks license and for following its license terms. In particular, you agree that you will not use CADABRA to:

CADABRA does not give you any rights to SolidWorks. Your use of SolidWorks is governed entirely by the license you accept with Dassault Systèmes SolidWorks Corporation.

11. Acceptable use

You agree not to use the Service to: break the law; infringe someone else's IP, privacy, or contract rights; harass or harm other people; transmit malware; probe, scan, or attack the Service or anyone else's systems; impersonate someone else; create fake or fraudulent accounts; or evade our pricing, rate limits, or paywalls. We may suspend or close accounts that we reasonably believe are engaged in this kind of misuse.

12. Beta & early features

Some features may be labeled "beta," "preview," or "experimental." Those features are offered as-is for you to try, may change or disappear at any time, and are not covered by any service-level commitment.

13. Changes to the Service or these Terms

We're actively building CADABRA and we may add, change, or retire features at any time. If we make a change to these Terms that materially reduces your rights, we will let you know by email or in-app banner before it takes effect, and your continued use after that date means you accept the change. If you don't want to accept a change, you can cancel your subscription before it takes effect.

14. Suspension & termination

You can stop using the Service and cancel your subscription at any time. We may suspend or end your access right away if you materially breach these Terms, if a payment fails, or if we reasonably believe your account is being used for fraud, abuse, or anything that creates legal risk for CADABRA. If we terminate your paid account without cause, we'll refund the unused prorated portion of the period you've already paid for. After termination, our promises about confidentiality, IP ownership, disclaimers, liability limits, and dispute resolution continue to apply.

You agree to defend, indemnify, and hold CADABRA and its officers, directors, and employees harmless from any third-party claim, loss, or expense (including reasonable attorneys' fees) arising out of: (a) your use of the Service; (b) Your Content or your use of Output; (c) your breach of these Terms; or (d) your violation of any law or third-party right, including any third-party CAD software license you hold.

18. Governing law & disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. Before filing any legal proceeding, you agree to first try to resolve the dispute informally by emailing team@cadabrai.com and giving us 30 days to respond. If we can't resolve it informally, you and CADABRA agree that any remaining dispute will be resolved in the state or federal courts located in Wilmington, Delaware, and you and CADABRA each consent to the personal jurisdiction of those courts. If you are a consumer in a jurisdiction whose mandatory law gives you the right to sue in your local courts, nothing in this section takes that right away.

19. Miscellaneous

Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and CADABRA about the Service and replace any prior agreement on the same subject.

No assignment by you. You can't transfer your account or these Terms to someone else without our written consent. We may transfer them in connection with a financing, merger, acquisition, or sale of our business.

Severability. If a court decides any part of these Terms is unenforceable, the rest still applies.

No waiver. If we don't enforce a term, that doesn't mean we've given it up.

Export & sanctions. You confirm that you're not on any U.S. sanctions or denied-parties list and that you won't use the Service in a way that breaks export-control or sanctions law.

No professional engineering services. CADABRA is a software product; we are not a licensed engineering practice. A qualified professional must review designs intended for real-world use.
